1. Agreement to terms
These Terms and Conditions (the “Terms”) form a binding agreement between you and Exea Labs (“Exea Labs,” “we,” “us,” or “our”) and govern your access to and use of our website at exealabs.org and its subdomains (the “Site”) and the community activities we organize (together, the “Services”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.
2. Who we are
Exea Labs is an independent, non-commercial research collective. We build and share research openly and run a community for researchers, students, and mentors. We are not a school, an employer, or a professional services firm, and nothing in the Services creates any such relationship.
3. Eligibility
You may browse the Site freely. To take part in the community, you must be able to form a binding contract in your jurisdiction, or, if you are a minor, you must have the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. By using the Services, you represent that the information you provide about yourself is accurate and that your use complies with all laws that apply to you.
4. The Services
The Services are provided for informational, educational, and community purposes. We may add, change, suspend, or discontinue any part of the Services at any time, with or without notice. We do not promise that the Services will always be available, uninterrupted, or error-free.
5. Free of charge
The Services are offered at no cost. We do not charge fees to browse the Site or to take part in the collective, and we will never condition access on payment. If we ever offer something that does involve a cost, we will make that clear in advance and it will be governed by separate terms.
6. Acceptable use
When using the Services, you agree that you will not:
- Break any applicable law or regulation, or infringe anyone’s rights.
- Harass, threaten, defame, or harm others, or post hateful or abusive content.
- Impersonate any person or organization, or misrepresent your affiliation with anyone.
- Upload malware, or attempt to gain unauthorized access to the Services or related systems.
- Interfere with, disrupt, or place an unreasonable load on the Services or their infrastructure.
- Scrape, harvest, or collect data about others without permission.
- Use the Services to send spam or unsolicited promotions.
- Misappropriate research, code, or other work, or violate any license or confidentiality obligation.
We may investigate and take any action we consider appropriate for a violation, including removing content and restricting or ending access.
7. Community participation
Much of the community runs on third-party platforms such as Discord and GitHub. When you take part there, you must also follow those platforms’ own terms and rules, along with any community guidelines we publish. You are responsible for your own conduct and for keeping any credentials you use secure.
8. Submissions and contributions
“Submissions” means anything you send or post through the Services, including proposals, applications, messages, code, research, feedback, and other materials. You keep whatever ownership rights you already hold in your Submissions. By providing a Submission, you grant Exea Labs a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display it as needed to operate and provide the Services and to review your participation. Where a Submission is intended to become part of an open research output or an open-source project, the applicable open license for that work governs its wider use.
You represent that you have the right to provide each Submission, that it does not infringe anyone’s rights, and that it does not contain confidential information you are not permitted to share. We are not obligated to use, review, or return any Submission, and any feedback you give us may be used freely and without obligation to you.
9. Intellectual property
Except for your Submissions and for content that is expressly released under an open license, the Site and its contents, including text, design, graphics, and code, are owned by Exea Labs or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purposes. All rights not expressly granted are reserved. Third-party names, logos, and marks are the property of their respective owners.
10. Third-party services and links
The Services link to and rely on third-party platforms and content, including Discord, Google Forms, GitHub, Instagram, LinkedIn, and Vercel. We do not control those services, do not endorse them, and are not responsible for their content, policies, or practices. Your use of any third-party service is at your own risk and is governed by that service’s own terms.
11. Privacy
Our Privacy Policy explains how we handle information in connection with the Services. By using the Services, you agree to the practices described there.
12. Disclaimers
The Services, and all content, research, and materials made available through them, are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Research and other content are shared for informational and educational purposes and are not professional, legal, medical, financial, or other advice. You are responsible for how you use them. We do not warrant that the Services will be secure, accurate, complete, current, or free of errors or harmful components.
13. Limitation of liability
To the fullest extent permitted by law, Exea Labs and its organizers, mentors, volunteers, and contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Services. In no event will our total liability for all claims relating to the Services exceed one hundred U.S. dollars (USD 100). Because the Services are provided free of charge, these limits reflect a reasonable allocation of risk between us. Some jurisdictions do not allow certain of these limitations, so some may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Exea Labs and its organizers, mentors, volunteers, and contributors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your use of the Services, your Submissions, or your breach of these Terms or of any law or third-party right.
15. Termination
You may stop using the Services at any time. We may suspend or end your access to all or part of the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions that by their nature should survive termination, including Sections 8 through 14 and 16 through 19, will survive.
16. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, except where mandatory local law that applies to you provides otherwise.
17. Disputes
Before starting any formal proceeding, you agree to first contact us at info@exealabs.org and try in good faith to resolve the matter informally. Subject to any mandatory local rights you have, the state and federal courts located in California will have exclusive jurisdiction over any dispute that is not resolved informally, and you consent to their jurisdiction. Any claim must be brought on an individual basis and not as part of a class or representative action.
18. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, make them clear on the Site. If you continue to use the Services after an update takes effect, that means you accept the revised Terms.
19. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and Exea Labs regarding the Services. If any provision is found unenforceable, the rest will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a reorganization or transfer of the Services. Nothing in these Terms creates any partnership, agency, or employment relationship between you and us.
